1. Parties

Customer: The individual or legal entity that purchases services from CVBorg and accepts the terms of this contract (hereinafter referred to as "Customer").

2. Services

CVBorg provides an AI-powered platform that optimizes recruitment processes for businesses through CV analysis services. The services are offered through monthly/annual subscriptions and a credit system.

The services offered by CVBorg include but are not limited to:

Upon successful payment, the Customer will gain immediate access to the purchased services. Access is granted based on the subscription plan selected or credits purchased.

Important Service Limitations:

CVBorg services are provided on an "as is" and "as available" basis. While we strive for accuracy and reliability, the AI analysis results should be used as a supplementary tool in the recruitment process, not as the sole decision-making factor.

3. Pricing and Payment

3.1 Pricing Structure

CVBorg offers two primary payment models:

  1. Subscription Plans: Monthly or annual subscriptions that provide ongoing access to the platform with specific usage limits.
  2. Credit Packages: Pre-purchased credits that can be used for CV analysis and other services on the platform.

Current pricing is available on the CVBorg website or through direct communication with CVBorg sales representatives. All prices are exclusive of applicable taxes unless explicitly stated otherwise.

3.2 Payment Methods

3.3 Payment Processing

For subscription plans, payments are processed at the beginning of each billing cycle. For credit packages, payment is processed at the time of purchase.

Upon successful payment processing, the Customer's account will be immediately credited with the purchased service or credits, enabling immediate access to the platform features.

3.4 Invoicing

CVBorg will issue an electronic invoice for each payment, which will be sent to the Customer's registered email address. The Customer is responsible for providing accurate billing information.

4. Service Delivery

4.1 Delivery Timeframe

Access to services and purchased credits is granted immediately upon successful payment processing. There is no additional delivery time required.

4.2 Service Activation

For new accounts, login credentials will be sent to the Customer's registered email address immediately after the initial purchase. For existing accounts, purchased services or credits will be activated automatically.

4.3 Service Availability

CVBorg strives to maintain 99.5% service availability. However, occasional maintenance and updates may require temporary service interruptions. When possible, CVBorg will provide advance notice of scheduled maintenance.

5. Term and Renewal

5.1 Subscription Term

Subscription plans are valid for the duration specified at the time of purchase (monthly or annual). The subscription term begins on the date of successful payment processing.

5.2 Credit Validity

Purchased credits are valid for one (1) year from the date of purchase. Unused credits will expire after this period without refund.

5.3 Automatic Renewal

Subscription plans automatically renew at the end of each billing cycle unless cancelled by the Customer. The renewal will be processed using the payment method on file.

5.4 Renewal Notification

CVBorg will send a renewal notification to the Customer's registered email address at least five (5) days before processing the automatic renewal payment.

6. Cancellation and Refund Policy

6.1 Subscription Cancellation

The Customer may cancel a subscription at any time through their account settings or by contacting customer support. Cancellation will stop automatic renewal for the next billing cycle but will not terminate the current active subscription period.

6.2 No Prorated Refunds

CVBorg does not provide prorated refunds for the unused portion of a subscription period after cancellation. The Customer will continue to have access to the services until the end of the current billing cycle.

CVBorg reserves the right to terminate services if:

In case of termination for violation of terms, CVBorg is not obligated to provide refunds for the unused portion of services.

7. Customer Support

7.1 Support Channels

CVBorg provides customer support through email at info@cvborg.com.

7.2 Support Hours

Standard customer support is available during Turkish business hours (GMT+3, Monday to Friday, 9:00 AM to 6:00 PM), excluding public holidays. CVBorg will make reasonable efforts to respond to inquiries outside of standard hours, but response times may be longer.

7.3 Response Time

CVBorg aims to respond to all support inquiries within one (1) business day. Complex issues may require additional time for resolution.

8. Intellectual Property

8.1 Ownership of Platform

CVBorg retains all intellectual property rights related to the platform, including but not limited to software, algorithms, design, logos, and content. Nothing in this contract transfers ownership of these intellectual property rights to the Customer.

8.2 License to Use

CVBorg grants the Customer a limited, non-exclusive, non-transferable license to use the platform for the duration of the subscription or until all purchased credits are used or expired.

8.3 Customer Data

The Customer retains all rights to data uploaded to the platform, including CVs and job descriptions. CVBorg will not use this data for purposes other than providing the services outlined in this contract.

9. Confidentiality

9.1 Definition of Confidential Information

Confidential Information includes all non-public information exchanged between the parties, including but not limited to business strategies, recruitment data, candidate information, and technical specifications.

10. Limitation of Liability

10.1 No Warranty

The services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.2 Disclaimer of AI Analysis Accuracy

While CVBorg strives to provide accurate and useful AI-powered analysis, the Customer acknowledges that AI technology has inherent limitations. CVBorg does not guarantee that the analysis results will be error-free or suitable for every recruitment scenario.

10.3 Limitation of Liability

To the maximum extent permitted by applicable law, CVBorg's total liability arising out of or related to this contract will not exceed the amount paid by the Customer in the six (6) months preceding the claim.

10.4 Exclusion of Consequential Damages

In no event will either party be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruption, arising out of or related to this contract, regardless of the theory of liability.

11. Data Protection

11.1 Compliance with Laws

Both parties agree to comply with applicable data protection laws and regulations, including but not limited to the General Data Protection Regulation (GDPR) where applicable.

11.2 Data Processing

CVBorg will process personal data only as necessary to provide the services and in accordance with its Privacy Policy, which is incorporated by reference into this contract.

11.3 Data Security

CVBorg will implement appropriate technical and organizational measures to protect the Customer's data from unauthorized access, loss, or disclosure.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

13. Governing Law and Jurisdiction

This contract shall be governed by and construed in accordance with the laws of Turkey. Any dispute arising out of or in connection with this contract shall be subject to the exclusive jurisdiction of the Anatolian Courts of Istanbul, Turkey.

14. Amendments

CVBorg reserves the right to modify this contract at any time. Material changes will be communicated to the Customer via email at least thirty (30) days before they take effect. Continued use of the services after the effective date of the modifications constitutes acceptance of the modified terms.

15. Entire Agreement

This contract, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written.

16. Severability

If any provision of this contract is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this contract will otherwise remain in full force and effect and enforceable.
